1. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into an agreement to use the Services.

If you use the Services on behalf of a carrier, fleet operator, employer, or another organization, you confirm that you are authorized to do so.

You agree to:

• provide accurate and current account information;
• protect your password and login credentials;
• accept responsibility for activity conducted through your account;
• promptly notify FleetBeat of suspected unauthorized access.

FleetBeat may suspend or disable an account when reasonably necessary for security, legal, payment, or policy reasons.

2. Acceptable Use

You may use the Services only for lawful and authorized purposes.

You may not:

• use another person’s account without permission;
• provide false or misleading information;
• track a person or vehicle without lawful authority;
• upload illegal, harmful, infringing, or malicious content;
• interfere with the security or operation of the Services;\
• introduce malware or harmful code;
• copy, resell, sublicense, or commercially exploit the Services without permission;
• reverse engineer or attempt to access FleetBeat source code, except where permitted by law;
• use the Services in a way that violates privacy, transportation, employment, safety, or other applicable laws.
  
  

3. Driver and Carrier Responsibilities

FleetBeat provides technology for drivers, carriers, fleets, and transportation professionals.

FleetBeat is not responsible for operating vehicles, selecting drivers, planning safe routes, inspecting vehicles, or ensuring legal and regulatory compliance.

You and your organization remain responsible for:

• safe vehicle operation;
• compliance with traffic and transportation laws;
• driver qualifications and required licenses;
• vehicle inspections and maintenance;
• verifying routes, loads, delivery information, and road conditions;
• obtaining required notices, permissions, and consents for location or employee monitoring.

Location, route, vehicle, and telematics information may not always be complete, current, or accurate and should not be the sole basis for emergency or safety-critical decisions.

4. User Content

You retain ownership of information, documents, photographs, messages, and other content you submit through the Services (“User Content”).

You grant FleetBeat a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and process User Content as necessary to:

• provide and support the Services;
• maintain security;
• improve the Services;
• comply with legal obligations.

You confirm that you have the necessary rights and permissions to submit User Content and that it does not violate applicable law or another person’s rights.

FleetBeat may remove or restrict access to content that violates these Terms or creates a legal or security risk.

5. Intellectual Property

The Services, including FleetBeat software, designs, trademarks, logos, documentation, and technology, are owned by FleetBeat or its licensors.

FleetBeat grants you a limited, non-exclusive, non-transferable, and revocable right to use the Services for their intended purpose.

You may not copy, modify, distribute, sell, or create derivative works from FleetBeat intellectual property without prior written permission.

6. Third-Party Services

The Services may contain links to or integrations with third-party services, including mapping, payment, telematics, and transportation systems.

FleetBeat does not control and is not responsible for the availability, content, privacy, security, or operation of independent third-party services.

Your use of third-party services may be governed by their own terms and policies.

7. Service Availability and Termination

FleetBeat may update, modify, suspend, or discontinue all or part of the Services.

We do not guarantee that the Services will always be uninterrupted, secure, or error-free.

FleetBeat may suspend or terminate your access if:

• you violate these Terms;
• your use creates a security, legal, or safety risk;
• required fees are unpaid;
• the organization managing your account requests termination;
• FleetBeat is required to do so by law.

8. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available.”

FleetBeat disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

FleetBeat does not guarantee that location, route, vehicle, telematics, or third-party information will always be accurate or current.

9. Limitation of Liability

To the maximum extent permitted by law, FleetBeat and its affiliates, employees, officers, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Services.

Unless a separate written agreement states otherwise, FleetBeat’s total liability will not exceed the greater of:

• the amount paid to FleetBeat for the Services during the 12 months before the claim;
• USD $100.

Some jurisdictions do not permit certain limitations, so these limitations may not apply in full.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of [State], without regard 
to conflict-of-law principles.

Any dispute relating to these Terms or the Services will be brought in the state or federal courts located in [County, State], unless applicable law requires otherwise.

Before filing a claim, the parties agree to attempt to resolve the dispute informally by written notice.
